These Terms of Service (“Terms”) govern your access to and use of the procurement software, websites, and related services (the “Service”) provided by Seloria, Inc. (“Seloria”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
Seloria provides software to manage procurement workflows, including requisitions, sourcing (RFI/RFP/RFQ), supplier management, quotations, purchase orders, approvals, budgets, and inventory. We may update, improve, or modify the Service over time.
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
The Service may be offered during a beta period. Beta features are provided “as is,” may change or be discontinued, and may contain errors. We may limit, suspend, or end beta access at any time.

Paid plans, fees, and billing terms will be presented at the time of purchase. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing on a going-forward basis with reasonable notice. During any free beta or trial period, no fees apply unless and until you elect to purchase a paid plan.
You retain all rights to the content and data you submit to the Service (“Your Content”). You grant Seloria a limited license to host, process, and display Your Content solely to provide and improve the Service. You are responsible for the accuracy and legality of Your Content and for having the necessary rights to submit it.
The Service, including its software, design, and trademarks, is owned by Seloria and protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in the Service.
The Service may integrate with or rely on third-party services. We are not responsible for third-party services, and your use of them may be subject to their own terms.
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Automated and AI-assisted outputs (such as extracted quotation data) may contain errors and should be reviewed by you before you rely on them.
To the maximum extent permitted by law, Seloria will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim, or USD 100 if you have paid nothing.
You agree to indemnify and hold harmless Seloria from claims, damages, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, the rights granted to you under these Terms will end.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction over any disputes, except where applicable law provides otherwise.
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
